Terms of sale

These terms govern every quote we issue and every order we fill. They are written for business customers. Read them alongside the quote itself, which carries the specification, the price and any terms agreed for that particular order.
1. Who you are contracting with
The seller is [REGISTERED COMPANY NAME] Ltd, trading as SourceDirect, registered in England and Wales, company number [00000000], registered office [REGISTERED OFFICE ADDRESS, POSTCODE]. In these terms "we" and "us" mean that company, and "you" means the business placing the order.
2. The website is not an offer to sell
Nothing on our website or in our marketing material is an offer to sell, and none of it binds either of us. Any figure quoted in marketing is an illustration of what similar orders have cost. The only price that counts is the one on a quote we have issued to you.
3. Quotes
- A quote is based on the specification and quantity you gave us. If either changes, the price changes.
- A quote is valid for 7 days from the date of issue unless it says otherwise.
- A quote is an invitation for you to place an order. A contract forms only when we confirm your order in writing and your deposit has cleared.
- If supplier pricing, freight rates or duty change before you approve, we will re-quote rather than absorb the difference or pass it on later.
- Quotes are itemised. Goods, freight, duty and clearance, and our margin are shown separately.
4. Payment
- All prices are in US dollars.
- 50% is payable as a deposit when you approve the quote. The balance is payable at handover, once you have inspected the goods.
- Payment is by bank transfer, or by settlement in Bulawayo where we have agreed that in writing.
- We order goods from our supplier once your deposit clears. From that point the deposit is non-refundable, because the stock has been bought for you specifically.
- If the balance is not paid within 7 days of handover we may charge interest at 4% per year above the Bank of England base rate, accruing daily.
5. Delivery, duty and clearance
Unless the quote says otherwise, the price is landed and duty paid at the delivery point named on the quote. We arrange freight, pay import duty and handle customs clearance.
Delivery times are estimates. We quote 10 to 21 days from cleared deposit to handover as a typical range, but freight schedules, customs inspections and supplier stock are outside our control and we are not liable for delay caused by them. We will tell you as soon as we know a date has moved.
Risk in the goods passes to you at handover. Title stays with us until we have received payment in full.
6. Inspection and shortages
Check the goods at handover, before you settle the balance. Count the units, check serial numbers against the quote, and power the equipment on.
Tell us about any shortage, wrong item or visible damage at handover or within 3 working days. We will replace or refund. Once the balance is settled and that window has passed, the goods are treated as accepted, and any later fault is a warranty matter under clause 7.

Warranty claims go through our Bulawayo desk. We will repair, replace, or refund the price paid for the item, at our option. We will always tell you before you buy whether an item is new or refurbished, and what grade.
The warranty does not cover accidental damage, liquid damage, power surges, unauthorised repair or modification, software problems, normal wear, or use outside the manufacturer's stated conditions.
8. Cancellation and changes
You may cancel free of charge at any point before your deposit clears. After that, the deposit is non-refundable and, if the goods have already shipped, the full price is payable.
We may cancel and refund you in full if a supplier fails us, if the goods cannot lawfully be exported or imported, or if an obvious pricing error was made. That refund is the limit of what we owe you in those circumstances.
9. Our liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability for any order is limited to the amount you paid for that order. We are not liable for loss of profit, loss of business, loss of data, or any indirect or consequential loss, however it arises.
You are responsible for telling us what the equipment is for. If you specify it yourself, we are not liable for it being unsuitable for a purpose you did not tell us about.
10. Things outside our control
We are not liable for failure or delay caused by events beyond our reasonable control, including strikes, freight disruption, port or border closures, customs action, power or network failure, currency controls, natural events, war or civil unrest. If such an event lasts more than 60 days, either of us may cancel the order and we will refund anything paid for goods not yet shipped.
11. Export and import compliance
You confirm the goods are for your own use or resale in Zimbabwe, and not for onward supply to any sanctioned party or restricted destination. We may refuse or cancel any order that we believe would breach export controls or sanctions.
12. Data protection
We handle your information as described in our privacy notice.
13. General
- These terms and the quote together form the whole agreement between us and replace anything said beforehand.
- Your own purchase order conditions do not apply unless we have agreed to them in writing.
- If any part of these terms is unenforceable, the rest still applies.
- Nobody other than you and us has any right to enforce these terms.
- We may update these terms. The version that applies to your order is the one published when your quote was issued.
14. Governing law
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
